Terms of Service

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or purchase a paid plan. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate account, billing, and contact information and to keep that information up to date. You must notify us promptly if you suspect unauthorized access to your account or upload pages.

3. Limited Right to Use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for your internal business, professional, or personal file collection needs.

You may not:

• copy, resell, rent, lease, or commercially exploit the Services without permission;
• reverse engineer, scrape, probe, or attempt to bypass technical limitations;
• interfere with, overload, or disrupt the Services or related infrastructure;
• use the Services to build or benchmark a competing product without our consent;
• use the Services in violation of applicable laws, regulations, or third-party rights.

4. Google Drive Integration

SendToDrive integrates with Google services, including Google OAuth and Google Drive APIs. When you connect your Google account, you authorize SendToDrive to perform the actions required to provide the Services, including sending submitted files to your selected Google Drive destination and processing limited file metadata.

You are responsible for your Google account, Google Drive storage capacity, Google permissions, folder configuration, and compliance with Google's terms and policies. We are not responsible for delays, failures, quota limits, data loss, permission changes, or outages caused by Google services or your Google account settings.

5. Upload Pages and User Content

You retain ownership of files, upload page content, form responses, branding, text, and other materials submitted through or configured in the Services ("User Content"). SendToDrive does not claim ownership of your User Content.

You grant us a limited license to process User Content only as necessary to provide, secure, maintain, troubleshoot, and improve the Services and to comply with applicable law. Files submitted through upload pages are intended to be transferred directly to your connected Google Drive. We may process limited metadata such as file name, file size, upload timestamp, upload status, page identifier, and related technical logs.

You are solely responsible for your upload pages and User Content, including obtaining any required permissions from uploaders, providing any required notices, and ensuring that collected files are lawful, appropriate, and authorized.

6. Acceptable Use

You may not use SendToDrive to collect, transmit, request, or facilitate:

• illegal, fraudulent, deceptive, abusive, harassing, or harmful content;
• malware, viruses, exploit code, or content designed to compromise systems;
• content that infringes intellectual property, privacy, publicity, or other rights;
• highly sensitive data unless you have all required rights and safeguards in place;
• spam, phishing, impersonation, or unauthorized collection of personal information;
• content or activity that creates an unreasonable security, operational, or legal risk.

We may remove or disable upload pages, restrict functionality, suspend accounts, or block submissions if we believe the Services are being misused or may create risk for SendToDrive, users, uploaders, third parties, or infrastructure providers.

7. Subscriptions, Billing, and Refunds

Some features require a paid subscription or other purchase. Prices, plan limits, billing cycles, included features, and taxes are displayed at checkout or in the applicable plan information. Paid features may be billed through Paddle, our authorized payment provider and merchant of record.

By purchasing a paid plan, you authorize the applicable payment provider to charge your selected payment method for recurring fees, taxes, and any other charges shown at checkout. You may cancel your subscription according to the cancellation flow available in your account or through support.

Refund eligibility is governed by our Refund Policy and any applicable payment provider terms. Unless otherwise stated, cancellation stops future renewals but does not automatically refund fees already paid.

8. Third-Party Services and Infrastructure

The Services depend on third-party services and infrastructure, including Google, Amazon Web Services, Paddle, analytics providers, email providers, and other vendors. Your use of third-party services may be subject to their separate terms and policies.

We are not responsible for third-party services, including their availability, performance, security incidents, policy changes, data handling practices, payment decisions, API limits, or service interruptions.

9. Service Availability and Data Handling

We work to keep SendToDrive reliable, but we do not guarantee that the Services will be uninterrupted, error-free, secure, or available at any particular time. Maintenance, updates, security events, internet conditions, third-party outages, and force majeure events may affect availability.

You are responsible for maintaining your own copies, backups, retention policies, and Google Drive access. SendToDrive is not a backup, archival, or disaster recovery service.

10. Privacy

Our Privacy Policy explains how we collect, use, process, and share personal data in connection with the Services. By using SendToDrive, you acknowledge that we process data as described in the Privacy Policy.

11. Intellectual Property

SendToDrive, including its software, design, branding, documentation, and underlying technology, is owned by Craterix Software LLC or its licensors and is protected by intellectual property laws. Except for the limited right to use the Services described in these Terms, we do not grant you any rights in SendToDrive intellectual property.

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation, provided we do not identify you publicly without permission.

12. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms, fail to pay applicable fees, create risk for the Services or others, or if continued access would violate law or third-party requirements.

Upon termination, your right to access and use the Services ends immediately. Sections that by their nature should survive termination will survive, including payment obligations, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that uploaded files will always be delivered successfully, that Google Drive permissions will remain unchanged, that third-party APIs will remain available, or that the Services will meet every requirement for your specific use case.

14. Limitation of Liability

To the maximum extent permitted by law, SendToDrive and Craterix Software LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or costs of substitute services.

To the maximum extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of USD $100 or the amount you paid to SendToDrive for the Services in the 12 months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless SendToDrive, Craterix Software LLC, and our owners, officers, employees, contractors, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your User Content, your upload pages, your violation of these Terms, or your violation of any law or third-party right.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms on this page or sending notice to the email associated with your account. The updated Terms will become effective when posted unless a later effective date is stated.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. The courts located in Wyoming will have exclusive jurisdiction over disputes arising from these Terms or the Services, except where applicable law requires a different forum.

18. Miscellaneous

These Terms, together with the Privacy Policy, Refund Policy, and any plan-specific terms presented to you, form the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
